Important Notice: Please read these terms and conditions carefully. They contain critical information regarding your legal rights, remedies, and obligations, including limitations of liability, a broad indemnification clause, and binding dispute resolution provisions.

1. Acceptance of Terms

These Terms and Conditions ("Terms") form a binding agreement between you, whether acting personally or on behalf of an entity ("User," "you," or "your"), and RichListed.com ("Company," "we," "us," or "our"). They govern your access to and use of the RichListed.com website, and any media form, smart contract, API, or decentralized application related, linked, or otherwise connected to it (collectively, the "Site"). By accessing the Site, interacting with our smart contracts, or using our recording services in any capacity, you agree that you have read, understood, and are bound by all of these Terms. If you do not agree with all of these Terms, you must not use the Site.

2. Core Service Description

RichListed.com is the permanent Ethereum registry of iconic individuals, founders, and leading brands. We provide a single, strictly limited utility: permanently etching a chosen text string onto the Ethereum blockchain via a decentralized smart contract, and displaying that entry in our public directory.

We do not provide networking spaces, community access, dynamic profiles, metaverse integrations, or ongoing identity management. Once your transaction is confirmed by the Ethereum network, our Service is complete, executed, and final.

3. What This Is — and What It Is Not

To remove any possible ambiguity:

This Service IS:

• A one-time service that permanently records a text string of your choice on the Ethereum blockchain.
• A public directory entry displaying that string, with one outbound link that you provide.
• For Brand Listings: a commercial invoice documenting the purchase as digital brand placement and directory sponsorship.

This Service IS NOT:

• Tax advice, accounting advice, or legal advice, in any form, implied or explicit.
• A determination that your purchase qualifies as a deductible business expense. That determination belongs to you and your tax professional alone.
• An investment, security, financial instrument, or asset with intrinsic monetary value.
• A guarantee of traffic, impressions, leads, customers, revenue, or any commercial outcome whatsoever.
• A tax position we will defend, justify, certify, or explain to any tax authority on your behalf.

4. Listing Types

At checkout you choose one of two listing lanes. Both lanes produce the exact same on-chain record. The lanes differ only in checkout fields, deliverables, and how you account for the purchase.

4.1 Personal Entry

A Personal Entry etches your name, alias, or handle as a permanent, unchangeable record of your true wealth and legacy. You may attach one optional outbound link (your X profile, personal website, or similar), shown alongside your entry in the directory.

Deliverable: blockchain transaction confirmation and the immutable on-chain record. Personal entries are personal discretionary purchases.

4.2 Brand Listing

A Brand Listing etches a company, fund, protocol, or brand name, with an outbound link to the official company website displayed in the directory. Brand listings are positioned as digital brand placement and directory sponsorship.

Deliverable: the immutable on-chain record, the directory entry with outbound brand link, and a commercial invoice documenting "Digital Directory Brand Placement & Web3 Sponsorship." To receive an invoice, you must provide the company legal name, business address, and tax ID/EIN at checkout. This information is stored securely, used solely for invoicing, and never displayed publicly.

4.3 Digital Advertising and Promotional Utility

The Service constitutes digital brand placement, directory listing, and decentralized sponsorship. By purchasing a listing, you are securing digital real estate designed to provide visibility and promotional utility for your business, brand, or professional identity.

RichListed.com makes no representations, warranties, or guarantees regarding the tax deductibility of this Service under any local, state, or federal tax code. Nothing in these Terms, on the Site, or in any invoice or receipt constitutes tax advice.

Sole responsibility for tax classification. You bear exclusive responsibility for how you classify, record, and report this purchase in your books and tax filings. You agree to consult a certified public accountant (CPA) or tax professional before claiming any deduction or business-expense treatment.

Audit indemnity. If any tax authority — federal, state, local, or foreign — audits, inquires into, questions, reclassifies, disallows, or penalizes any deduction, expense treatment, or filing position connected to your purchase, you agree to defend, indemnify, and hold harmless RichListed.com, its parent companies, subsidiaries, affiliates, directors, officers, employees, contractors, and agents from and against all resulting tax assessments, penalties, interest, and professional fees (including CPA and legal fees). We will provide a copy of your invoice upon request; any further cooperation with an audit is at your sole expense.

4.4 Honorary Listings

Designation. The Company may, in its sole and absolute discretion, designate certain entries in the registry as honorary listings (“Honorary Listings”), including entries inscribed by or at the direction of the Company during the launch of the Service, for which no listing fee was charged. The first Honorary Listings, recorded on the Ethereum blockchain, are:

No endorsement, affiliation, or authorization. An Honorary Listing is a unilateral act of the Company. It does not state or imply that the person or entity named requested, authorized, consented to, endorsed, sponsored, or is affiliated with RichListed.com, the Company, the Site, or the Service, and no such inference may be drawn from the presence of an Honorary Listing. No consideration was paid by or to the Company in connection with any Honorary Listing, and no contract, partnership, agency, joint venture, or other legal relationship exists between the Company and any person or entity named in an Honorary Listing by virtue of that listing.

No rights conferred; no obligation created. An Honorary Listing confers no rights of any kind — including no membership, ownership, governance, economic, contractual, or publicity rights — on the person or entity named, and imposes no obligation on the Company toward that person or entity beyond the accurate display of the public on-chain record. Honorary status is not transferable, has no cash value, and may not be redeemed.

Permanence and inquiries. Like all entries, an Honorary Listing is a permanent, immutable on-chain record that the Company has no technical ability to alter or remove, as described in Section 7. Any person named in an Honorary Listing, or their authorized representative, may direct questions or concerns to the contact address in Section 15. The Company will review such inquiries in good faith, but the submission of an inquiry does not obligate the Company to take any particular action, and no action available to the Company can modify or delete the underlying blockchain record.

Your agreement regarding Honorary Listings. By using the Site or purchasing a listing, you agree that the existence of Honorary Listings gives you no claim against the Company, and you agree to defend, indemnify, and hold harmless RichListed.com, its parent companies, subsidiaries, affiliates, directors, officers, employees, contractors, and agents from and against any and all claims, demands, liabilities, damages, losses, judgments, costs, and expenses (including reasonable attorneys’ fees) asserted by any third party arising out of or relating to the designation, inscription, display, or description of any Honorary Listing, as further provided in Section 9.

5. Explicit Non-Financial and Non-Investment Disclaimer

RichListed.com is a data recording utility. We are not a cryptocurrency exchange, brokerage, financial service, or investment platform.

By using this Site, you acknowledge and agree:

• No Trading or Speculation: You are not buying, selling, trading, or investing in any cryptocurrency, token, NFT, or digital asset through us.
• No Expectation of Profit: Your recorded entry has no intrinsic monetary value, is not a security, is not an investment contract, and cannot be used as a financial instrument. You use this Service with no expectation of financial return.
• No Secondary Market: We do not facilitate or endorse any secondary market for the transfer, sale, or monetization of recorded entries.
• Service Fee: The fee paid is a one-time service and processing fee for executing the on-chain recording. It is not an investment in the Company.

6. User Representations and Warranties

By using the Site, you represent and warrant that:

• Legal Capacity: You have full legal capacity and authority to enter into these Terms.
• Age of Majority: You are of legal age in your jurisdiction.
• Right to Name: The text string you submit is your own legal name, an original alias to which you hold exclusive rights, or a brand/entity name you are lawfully authorized to record. For Brand Listings, you represent that you are authorized to act on behalf of the entity named.
• No Infringement or Malice: You will not submit entries that are defamatory, obscene, harassing, hate speech, impersonate another living person, or violate any third party's intellectual property, trademark, or privacy rights.
• Accurate Invoicing Information: For Brand Listings, all company, address, and tax ID information you provide is true and accurate.
• Independent Tax Judgment: You have not relied on any statement by the Company regarding the tax treatment of your purchase, and you accept full responsibility for your own filing positions.
• No Automated Access: You will not access the Site via bots, scripts, or scrapers without our express written consent.
• Legal Compliance: Your use of the Site will not violate any applicable law, regulation, sanction, or treaty.

7. The Ethereum Blockchain and Irreversibility

Blockchain technology operates outside the Company's control.

• Total Irreversibility: Once your transaction is confirmed, the record is permanent. The Company has no technical ability to reverse the transaction, alter the spelling, delete the data, or issue refunds under any circumstances.
• Network Fees (Gas): You are solely responsible for Ethereum gas fees, separate from our service fee. Gas fluctuates with network congestion.
• Network Risks: The Ethereum network may experience congestion, forks, or attacks. The Company is not liable for any failure of the network to process, display, or maintain your record.

8. Intellectual Property Rights

The Site, including source code, databases, designs, text, photographs, and graphics (the "Content"), and all trademarks and logos, are owned or controlled by RichListed.com and protected by applicable intellectual property laws. Recording an entry does not grant you ownership over the platform or its branding. You retain rights to your own name; the blockchain record itself is public data on Ethereum.

9. Indemnification

You agree to defend, indemnify, and hold harmless RichListed.com, its parent companies, subsidiaries, affiliates, directors, officers, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal and accounting fees) arising from:

• Your access to or use of the Site or Services;
• Your breach of these Terms;
• Any claim that your submitted entry infringes third-party intellectual property, privacy, or other rights;
• Your violation of any applicable laws or sanctions;
• Disputes between you and any third party regarding a blockchain record;
• Any financial loss from a misunderstanding of the non-financial nature of this Service;
• Any tax audit, inquiry, assessment, penalty, interest, or dispute arising from your classification, reporting, or treatment of your purchase, as further described in Section 4.3.
• Any claim, demand, or inquiry by any third party arising out of or relating to the designation, inscription, display, or description of any Honorary Listing, as described in Section 4.4.

10. Limitation of Liability

To the maximum extent permitted by law, RichListed.com and its directors, employees, and agents shall not be liable for any direct, indirect, consequential, incidental, special, or punitive damages — including lost profit, lost revenue, loss of data, or reputational harm — arising from your use of the Site, the Services, or the Ethereum blockchain, even if advised of the possibility of such damages.

Our total cumulative liability for any cause whatsoever is limited to the amount you paid us for the specific Service in the one (1) month before the cause of action arose.

11. Public Data and Privacy Waiver

By using the Service, you authorize us to broadcast your submitted entry to the public Ethereum blockchain. Blockchains are public, permanent ledgers: your entry will be visible to the entire world, forever. You waive any right to privacy, "right to be forgotten," or data deletion requests (including under GDPR, CCPA, or similar frameworks) for data you voluntarily submit for recording, as compliance is technologically impossible on an immutable ledger. Invoicing information (business address, tax ID) is never published.

12. Modifications and Interruptions

We may change, modify, or remove Site contents or these Terms at any time, at our sole discretion, without notice. We are not liable for any modification, price change, suspension, or discontinuance of the Site, and we do not guarantee uninterrupted availability.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Emirate of Dubai, United Arab Emirates, or the State of Wyoming, United States, at the Company's sole discretion, without regard to conflict of law principles. Disputes shall be litigated exclusively in the courts of Dubai or Wyoming, at the Company's election. You consent to personal jurisdiction and venue there and waive any inconvenient-forum objections.

14. Severability

If any provision of these Terms is found unlawful, void, or unenforceable, it is severed and the remaining provisions stay in full force. No joint venture, partnership, employment, or agency relationship is created by these Terms or your use of the Site.
